Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Opthria website and related services. By using the site, you agree to these Terms. If you do not agree, do not use the service. Have counsel review before launch.

1. The service

Opthria provides informational listings, application tools, and communication channels related to recruitment. We may introduce you to third-party employers or partners. We do not guarantee interviews, offers, compensation, or employment outcomes.

2. Eligibility and accounts

You must meet the minimum legal working age in your jurisdiction and provide accurate information. You are responsible for safeguarding credentials and for activity under your account.

3. Acceptable use

You agree not to: misrepresent your identity or qualifications; scrape or overload the site; upload malware; harass users or staff; circumvent security; collect personal data from other users without consent; or use the service for unlawful discrimination or spam. We may suspend or terminate access for violations.

4. Applications and employer relationships

When you apply, employers may evaluate you using their own criteria and processes. Any contract, offer letter, or payment relationship is between you and the employer unless we explicitly state otherwise in a separate signed agreement.

5. Intellectual property

The site, branding, text, graphics, and software are owned by us or our licensors. You receive a limited, non-exclusive, non-transferable license to use the site for personal, non-commercial recruitment purposes unless we agree otherwise in writing.

6. User content

You retain rights in materials you upload (such as your CV). You grant us a license to host, process, and share those materials with employers and service providers as needed to operate the service you request.

7. Third-party services

We may link to or embed third-party tools (for example, hosted application forms). Their terms and privacy policies apply to information you submit to them.

8. Fees, billing, and refunds (if applicable)

If we offer paid features, pricing and renewal terms will be shown at checkout. Unless mandatory consumer law says otherwise, fees are non-refundable once the service period has started, except where we fail to deliver the purchased service through our fault. Replace this section if you only operate a free marketplace.

9. Disclaimers

The service is provided on an “as is” and “as available” basis to the maximum extent permitted by law. We disclaim implied warranties such as merchantability, fitness for a particular purpose, and non-infringement. See also our Disclaimers page.

10. Limitation of liability

To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits, data, or goodwill. Our aggregate liability arising out of these Terms is limited to the greater of (a) the amount you paid us for the service in the three months before the claim or (b) one hundred (100) USD, if you have not paid us.

11. Indemnity

You will defend and indemnify us against claims arising from your misuse of the service, your user content, or your violation of law or these Terms, subject to applicable law.

12. Termination

You may stop using the site at any time. We may suspend or terminate access to protect the service or users, or if you breach these Terms. Provisions that by nature should survive will survive termination.

13. Governing law and disputes

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, excluding conflict-of-law rules. Courts in Toronto, Ontario, Canada have exclusive jurisdiction, unless mandatory consumer law in your country requires otherwise.

14. Changes

We may update these Terms. We will revise the “Last updated” date. Continued use after changes become effective constitutes acceptance.
